Cydonia Technologies ("Cydonia", "we", "our", or "us") owns and operates the easyNPPE web application, website, and related services (collectively, the "App" or "Service"). By accessing or using the App, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, you must not use the App.

Canadian Users

easyNPPE is intended for users preparing for the National Professional Practice Examination ("NPPE") in Canada.

Depending on your province or territory of residence, you may have rights under applicable consumer protection, privacy, and other laws. Nothing in these Terms limits any rights that cannot legally be limited or excluded. If any part of these Terms conflicts with mandatory laws that apply to you, those mandatory laws will apply to the extent of the conflict.

Independent Exam Preparation Service

easyNPPE is an independent exam-preparation service. It is not affiliated with, endorsed by, sponsored by, approved by, or officially connected with APEGA, PEO, EGBC, APEGS, Engineers and Geoscientists BC, Engineers Canada, Geoscientists Canada, or any other engineering or geoscience regulator, association, or examination administrator.

All third-party names, acronyms, regulator names, association names, and examination references are used for identification and informational purposes only.

Accounts and Access

Your account grants you a personal, limited, non-exclusive, non-transferable licence to access and use the App for your own NPPE exam preparation during your applicable access period.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share your account, login credentials, or paid access with any other person.

If you believe your account has been accessed without authorization, you should contact us promptly.

We may suspend, restrict, or terminate access to the App if we reasonably believe that you have breached these Terms, misused the App, created a security or operational risk, engaged in unlawful or unauthorized activity, or attempted to access the App in a way that harms us, our users, our content, or our systems.

Any suspension, restriction, termination, or refusal of access will be handled subject to applicable law.

Payments and Access Packages

The App offers various access packages, including Basic, Premium, and Ultimate AI. Each package is sold as a one-time payment and is not a recurring subscription. No automatic renewal occurs, and no further charges will be made after the initial purchase unless you choose to make another purchase.

Each package grants access until the end of the applicable NPPE exam period plus a 15-day grace period after the exam date. For these Terms, the "applicable NPPE exam period" means the NPPE sitting selected by you at purchase, assigned to your account in the App, or otherwise confirmed during checkout.

Prices, applicable taxes, currency, and any government-imposed charges will be shown before checkout where required. Unless otherwise stated at checkout, prices are displayed in the currency shown on the payment page. You are responsible for reviewing the package, price, access period, currency, and applicable taxes before completing your purchase.

Payments are processed by Stripe or another third-party payment provider. We do not directly collect or store your full credit card or debit card number. Payment information you provide at checkout is processed by Stripe or the relevant payment provider in accordance with that provider's terms and privacy policy.

We may receive and store limited payment-related information, such as your name, email address, billing details, package purchased, transaction amount, currency, payment status, Stripe customer or transaction identifiers, receipts, refunds, disputes, chargebacks, tax information, and limited card details such as card brand, expiry month/year, and last four digits where provided by the payment provider. We use this information to process purchases, provide access to the App, maintain records, prevent fraud, handle support requests, process refunds, and comply with legal, tax, accounting, and payment-network obligations.

We may cancel or refuse a package order if fraud, an unauthorized transaction, payment abuse, or a breach of these Terms is suspected. Where access is suspended, cancelled, or terminated, any refund will be handled in accordance with these Terms and applicable law.

Nothing in these Terms limits any refund, cancellation, chargeback, or other rights you may have under applicable Canadian federal, provincial, or territorial law.

App Usage, Errors, and Availability

The App is designed to support NPPE exam candidates in Canada.

We rely on third-party services to provide the App, including cloud computing, storage, hosting, payment, analytics, security, AI, and application delivery providers. As a result, we cannot guarantee that the App will be available at all times or operate without interruption.

Although we aim to provide accurate, useful, and up-to-date study materials, we do not guarantee that all App content will be error-free, complete, current, or suitable for your specific circumstances.

You are responsible for verifying important information against official and authoritative sources, including materials published by the relevant engineering or geoscience regulator, association, or examination administrator.

We may update, correct, improve, remove, or modify App content and features from time to time. We will not intentionally materially reduce your paid access during the applicable access period without a lawful basis or appropriate remedy.

Artificial Intelligence Tutor: Fleming

The Ultimate AI package includes access to an automated study assistant known as "Fleming". Fleming is powered by a third-party large language model, currently provided by OpenAI, and is guided by curated NPPE study materials.

Fleming is an exam-preparation aid only. It is not an authoritative source and does not provide legal, professional, regulatory, engineering, geoscience, or other professional advice.

By using Fleming, you acknowledge and agree that:

  1. AI-generated responses may be inaccurate, incomplete, out of date, misleading, or inappropriate for your circumstances.
  2. Fleming's responses may not reflect the most current laws, regulations, codes of ethics, professional standards, exam policies, or regulator guidance.
  3. Fleming is not a substitute for official materials published by APEGA, PEO, EGBC, APEGS, any other engineering or geoscience association or regulator, or the applicable examination administrator.
  4. You are responsible for independently verifying any information Fleming provides against official and authoritative sources before relying on it, including for NPPE preparation or examination purposes.
  5. To generate responses, the content of your messages and limited context about what you are viewing in the App may be sent to third-party AI service providers for processing, as described in our Privacy Policy.
  6. We do not intentionally send your account details, email address, or payment information to the AI provider as part of Fleming prompts. However, you should not include personal, confidential, sensitive, privileged, or third-party information in your messages to Fleming.
  7. You are responsible for the content you submit to Fleming. We are not responsible for any personal, confidential, sensitive, privileged, or third-party information that you choose to submit.
  8. To the fullest extent permitted by law, Cydonia is not responsible or liable for any action taken, or not taken, in reliance on Fleming's output. Your use of Fleming is at your own discretion and risk.

Privacy and Personal Information

Our collection, use, disclosure, retention, and protection of personal information is described in our Privacy Policy.

For Canadian users, our Privacy Policy should be reviewed together with these Terms. It explains the purposes for which we collect personal information, the categories of service providers we use, cross-border processing, safeguards, retention, and how you may contact us about privacy questions.

Some of our service providers, including AI, hosting, payment, analytics, security, and application delivery providers, may process or store information outside Canada. As a result, your information may be subject to the laws of other jurisdictions and may be accessible to courts, law enforcement, regulators, or government authorities in those jurisdictions where legally required.

Stripe and other payment providers may process personal information outside Canada. Your payment and transaction information may therefore be subject to the laws of other jurisdictions. You should review Stripe's privacy policy and applicable terms for more information about how Stripe processes payment and transaction information.

By using the App, you agree to review our Privacy Policy and to avoid submitting unnecessary personal, confidential, sensitive, privileged, or third-party information into the App, including into Fleming.

Acceptable Use

You may use the App only for your own personal NPPE exam preparation.

The following activities are prohibited and may result in suspension or termination of your account, removal of access, refusal of refund where permitted by applicable law, and, where appropriate, legal action:

  1. Scraping, crawling, harvesting, or otherwise extracting practice questions, study guide content, glossary terms, answer explanations, illustrations, curated topic structures, or any other App content by automated or systematic means.
  2. Using bots, scripts, headless browsers, automated tools, screen recording, repeated screenshots, bulk copy-paste, or other methods intended to reproduce, extract, redistribute, or build a copy of App content.
  3. Reverse engineering, decompiling, disassembling, or attempting to derive the source code, architecture, prompts, systems, databases, or underlying structure of the App.
  4. Copying, reproducing, republishing, distributing, selling, sub-licensing, mirroring, sharing, uploading, or otherwise making any portion of the App or App content available to third parties, whether for commercial gain or otherwise.
  5. Using App content, in whole or in part, to train, fine-tune, prompt, evaluate, populate, or otherwise inform any machine-learning model, AI system, chatbot, question bank, study tool, or other automated content generator.
  6. Sharing your login credentials with anyone else, allowing more than one person to study from the same account, or otherwise transferring access to your account.
  7. Circumventing, disabling, interfering with, or attempting to circumvent any security, rate-limiting, usage-monitoring, or access-control measure of the App.
  8. Using the App in any way that places an unreasonable or disproportionate load on our infrastructure or disrupts the experience of other users.
  9. Using the App for unlawful, fraudulent, misleading, abusive, harassing, harmful, or unauthorized purposes.

This section does not prevent you from making limited personal notes for your own private study, provided that you do not share, publish, distribute, commercialize, or use those notes to reproduce a substantial portion of the App or its content.

We monitor for activity that we reasonably believe violates this section and may take technical, contractual, or legal measures to protect the App, our content, our users, and our business.

Intellectual Property and Copyright

The App, its design, source code, systems, features, interfaces, original content, practice questions, answer explanations, study guides, glossary entries, illustrations, curated topic structures, and other materials are owned by Cydonia or its licensors and are protected by copyright, trademark, trade secret, database, and other intellectual property laws.

Except for the limited personal licence expressly granted in these Terms, no rights are granted to you in or to the App or its content.

You must not use, reproduce, distribute, modify, adapt, publish, translate, create derivative works from, sell, license, exploit, or otherwise make available any part of the App or its content without our prior written permission.

We respect the intellectual property rights of others. Where third-party content, names, or references appear in the App, they are used for identification, commentary, study, or informational purposes, and ownership remains with the applicable rights holder.

Pass or Refund Guarantee

We stand by the quality and effectiveness of the App and offer a "pass or refund" guarantee under the conditions below.

This guarantee applies only to users who purchase the Premium or Ultimate AI package.

It does not apply to Basic packages, free access, promotional access, discounted access where the guarantee is expressly excluded, accounts that have breached these Terms, or accounts that have been shared, transferred, scraped, abused, or used in violation of the Acceptable Use section.

To qualify for the guarantee, you must complete all achievement badges in the App before your NPPE exam. These badges cover the full program, including reading the complete study guide, completing a Learning Mode round for every topic, passing the practice quizzes, and scoring 85% or higher on the full timed exams. Your badge progress is shown in the App under Milestones.

If you complete all required badges before your NPPE exam and still fail that NPPE exam, you may request a refund of the package price you paid, subject to verification.

To request a refund, you must:

  1. Contact us using the contact form within 30 days of receiving your official NPPE exam result.
  2. Provide evidence of your exam result from your Association, regulator, or examination administrator in the format we reasonably request.
  3. Use the same account and email address associated with your easyNPPE purchase unless we agree otherwise.

We may verify your claim, badge completion, account activity, purchase record, and exam-result evidence before approving a refund.

We may refuse a refund if the eligibility conditions are not met, if we reasonably believe the claim is inaccurate or fraudulent, if the account was shared or misused, or if the App was used in breach of these Terms.

Approved refunds will normally be issued to the original payment method. Unless required by applicable law, the refund covers the package price paid to Cydonia and does not cover currency-conversion fees, bank fees, card fees, payment-provider fees, or other third-party charges.

This guarantee is a contractual promotional guarantee and is in addition to any refund, cancellation, chargeback, or other rights you may have under applicable law.

These guarantee conditions apply to purchases made on or after 13 June 2026. If you purchased before this date, please contact us and we will review your claim fairly, applying the guarantee terms that applied at the time of your purchase where appropriate.

Third-Party Services and Links

The App may use or link to third-party services, websites, platforms, tools, payment processors, AI providers, hosting providers, analytics providers, security providers, or other external services.

We are not responsible for third-party services, content, policies, availability, security, or practices.

Your use of third-party services may be subject to separate terms and privacy policies. You should review those terms and policies before using the relevant third-party service.

Changes to the App or These Terms

We may update the App and these Terms from time to time.

If we make material changes to these Terms, we will take reasonable steps to notify you, such as by posting the updated Terms in the App or providing notice through the App or by email.

The updated Terms will apply from the date stated in the updated version, except where applicable law requires a different approach.

If you do not agree with updated Terms, you must stop using the App. Your continued use of the App after the updated Terms take effect means you agree to the updated Terms, subject to applicable law.

Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Cydonia, its directors, officers, employees, contractors, affiliates, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to your breach of these Terms, misuse of the App, violation of applicable law, infringement of third-party rights, or unauthorized use or distribution of App content.

This indemnity does not apply to the extent prohibited by applicable consumer protection or other mandatory law.

Limitation of Liability

The App is provided on an "as is" and "as available" basis to the fullest extent permitted by law.

We do not guarantee that the App will be uninterrupted, error-free, secure, complete, current, or suitable for your particular needs.

To the fullest extent permitted by law, Cydonia, its directors, officers, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, opportunity, data, goodwill, or anticipated savings, arising out of or related to your use of, inability to use, or reliance on the App.

To the fullest extent permitted by law, our total liability for any claim arising out of or related to the App or these Terms will not exceed the amount you paid to Cydonia for the package giving rise to the claim.

Nothing in these Terms limits or excludes any liability that cannot legally be limited or excluded, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or any rights you may have under applicable consumer protection law.

Governing Law

These Terms are governed by the laws of England and Wales, except to the extent that mandatory consumer protection, privacy, or other laws in your province or territory of residence apply despite that choice of law.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.
